Terms of Service — Coates Media

These Terms of Service (“Terms”) govern your use of services provided by Coates Media LLC (“we,” “us,” or “our”), including our websites, marketing automation services, and third-party platform applications we operate (collectively, the “Services”).

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Description of Services

Coates Media provides marketing automation, lead management, advertising performance, and CRM integration services to clients, including franchise networks and small-to-mid-sized businesses. Specific services and applications operated by Coates Media may include, without limitation:

  • Marketing automation infrastructure (ops.coatesmedia.co)
  • Third-party platform applications (e.g., Coates Media Connect on Meta Platforms)
  • Custom integrations between client CRM, advertising, and analytics platforms

App-specific terms, where they differ from these master Terms, are described in the Addenda at the end of this document.


3. Acceptance and parties

These Terms apply to:

  • Coates Media employees and contractors who operate the Services
  • Coates Media clients whose marketing operations are powered by the Services
  • Authorized client representatives (e.g., franchise studio operators) whose business assets (Pages, ad accounts, CRM modules) are connected to the Services

End users who interact indirectly with the Services (e.g., by submitting a lead form) do not accept these Terms; their relationship is governed by the relevant platform’s terms (Meta, Google, etc.) and the relevant Coates Media client’s own terms.


4. Permitted use

The Services are licensed for use solely to:

  1. Operate marketing campaigns, lead routing, and analytics on behalf of authorized Coates Media clients
  2. Integrate with platform APIs (Meta, Google, Zoho, etc.) within the scope each platform has authorized
  3. Generate reports and performance analytics for client decision-making

Use of the Services for any other purpose — including but not limited to harvesting data for resale, marketing to non-client audiences, circumventing platform terms, or analyzing data for non-client commercial activities — is strictly prohibited.


5. Authorized scope

Each Service we operate is scoped to specific clients and assets. Adding new clients, additional ad accounts, or new business assets to a Service requires explicit written authorization by Coates Media and the client.

For app-specific scope (e.g., the Pages connected to Coates Media Connect, currently the eleven Fred Astaire Dance Studios Pages), see the Addenda.


6. Data handling

Personal data flowing through the Services is governed by our Privacy Policy at https://coatesmedia.co/privacy. The authoritative copy of all client lead data lives in the relevant client CRM (e.g., Zoho CRM). Coates Media’s own infrastructure does not retain client lead data beyond brief transit windows, except where required for legitimate business purposes (e.g., operational logs for 30 days). Personal data you submit directly to Coates Media — for example, through the contact form on https://coatesmedia.co — is first-party data we control and store as described in the Privacy Policy.


7. Intellectual property

The Services, including code, configuration, documentation, and any branding elements, are the property of Coates Media LLC. Use of the Services does not transfer any ownership rights. Client-provided assets (Pages, ad accounts, creative, content) remain the property of the client.


8. Service availability

We aim for high availability but do not guarantee uptime. The Services depend on third-party infrastructure (Meta, Google, Zoho, cloud hosting providers), any of which may experience outages. We do not warrant that the Services will be error-free, uninterrupted, or fit for any specific purpose beyond the permitted use described in Section 4.


9. Limitation of liability

To the maximum extent permitted by applicable law, Coates Media LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Services, including but not limited to lost profits, lost data, or business interruption.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the total fees paid to Coates Media by the affected party in the three months preceding the claim.


10. Termination

We may suspend or terminate access to any Service at any time for any reason, including:

  • Violation of these Terms
  • Revocation of platform permissions (e.g., Meta App approval revoked)
  • Legal, regulatory, or security risk
  • Client contract termination

Upon termination of a specific Service:

  1. We will stop processing new data through the affected Service
  2. We will notify the affected client
  3. Previously processed data already routed to the client’s CRM remains under the client’s control and retention policies

11. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. Any dispute arising out of these Terms shall be resolved in the state or federal courts located in Lubbock County, Texas.


12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email to affected clients at least 14 days before taking effect. Continued use of the Services after the effective date of revised Terms constitutes acceptance.

Addenda — Application-Specific Terms


A. Coates Media Connect (Meta Platforms App)

Authorized Pages: The Services include receiving Meta Lead Ad submissions from the Pages a client authorizes Coates Media to manage. The current authorized set is the following eleven Fred Astaire Dance Studios Pages: Cypress, Champions, Memorial, Stone Oak, Alamo Heights, Richmond, Brownsville, Atlanta Midtown, Duluth, Design District, River Oaks. Adding additional clients or Pages requires explicit authorization by Coates Media and the client (page operator), including Lead Access Manager grants or partner sharing in Meta Business Suite.

Data flow: Lead data flows from Meta through ops.coatesmedia.co (transient, less than 60 seconds, no persistent storage) and into the relevant client’s Zoho CRM. Each client location’s staff has access only to leads originating from their own Page.

Advertising performance & management: In addition to lead receiving, Coates Media Connect — where the client authorizes it — reads advertising performance and account-structure data from the client’s authorized Meta ad account(s) for monitoring, change detection, and reporting (ads_read), and applies approved advertising changes staged through Coates Media’s approval queue (ads_management). Automated changes are applied only after approval; the client remains responsible for reviewing and approving changes to their advertising. Access is limited to the Pages and ad accounts the client connects and is revocable by the client at any time through Meta Business Manager. This mirrors the agency automation described for Google Ads in Addendum B.

Service-specific limitation of liability: Liability for Coates Media Connect specifically is limited to the lesser of $100 or the fees paid for the Service. The Service is provided to each client under Coates Media’s agreement with that client; no separate fees are paid for the application itself.


B. Google Ads API Integration

Scope of service: With the client’s Google OAuth authorization, Coates Media operates an agency automation platform that monitors campaign performance, detects changes, produces performance reporting, and applies approved campaign updates (budget, bid, status, targeting) through an approval queue, across the Google Ads accounts the client connects. Access is limited to the accounts the client authorizes and is revocable by the client at any time.

Authorized accounts: The Services act only on the Google Ads accounts a client explicitly connects via Google OAuth. Adding accounts requires the client’s authorization.

Approval and client responsibility: Automated campaign updates are staged and applied only after approval through Coates Media’s approval queue. The client remains responsible for reviewing and approving changes to their campaigns.

Service-specific limitation of liability: Liability for the Google Ads API integration is limited to the lesser of $100 or the fees paid for the Service.
